Terms of Use

By accessing, browsing, or otherwise using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, please do not use the Site.

If you are using the Site on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms, and "you" means both you and that organization.

The Site is intended for business use by people acting in a professional capacity. It is not directed to children, and we do not knowingly collect information from anyone under 18 through the Site.

You may use the Site only if you are able to form a binding contract with Constructured, and only in compliance with these Terms and all applicable laws.

We may change, suspend, or discontinue any part of the Site at any time, with or without notice.

We may also revise these Terms. When we do, we will update the effective date shown at the top of this page. Revisions take effect when they are posted, and your continued use of the Site after that means you accept them. We suggest checking this page from time to time.

You may view, download, and print material from the Site for your own internal business evaluation, as long as you keep all copyright and other proprietary notices intact.

You agree not to:

• copy, reproduce, republish, distribute, or publicly display Site content except as permitted above;
• use the Site for any unlawful purpose, or in any way that could damage, disable, overburden, or impair it;
• attempt to gain unauthorized access to any part of the Site, any account, or any system or network connected to it;
• probe, scan, or test the vulnerability of the Site, or breach any security or authentication measure;
• use any robot, spider, scraper, or other automated means to access the Site or harvest content from it, other than search engine crawlers operating in accordance with our robots.txt file;
• use Site content to train machine learning or artificial intelligence models without our prior written permission;
• remove, obscure, or alter any proprietary notice; or
• use the Site, or anything obtained from it, to build or market a competing product or service.

The Site and its contents — including text, graphics, illustrations, diagrams, photographs, logos, icons, interface designs, software, and the selection and arrangement of all of it — are owned by Constructured or its licensors and are protected by United States and international intellectual property laws.

Apart from the limited permission described in Section 4, nothing on the Site grants you any license or right to any Constructured intellectual property, by implication, estoppel, or otherwise.

Constructured, OspreyStrike, OspreyVantage, OspreyReserve, the Constructured mark, and the Osprey marks are trademarks of Constructured, Inc. You may not use them without our prior written permission. Other names, logos, and marks appearing on the Site belong to their respective owners, and their appearance does not imply any endorsement of, or affiliation with, Constructured.

If you contact us through the Site, book a meeting, or send us email, you may give us your name, your business contact details, and whatever else you choose to write. We handle that information as described in our Privacy Policy.

Please do not send confidential or proprietary information through the Site. Apart from personal information, anything you send us through the Site is treated as non-confidential, and you grant us a perpetual, worldwide, royalty-free license to use it for any lawful business purpose, including improving our products. This does not override any confidentiality obligation in a signed agreement between us.

The Site links to services we do not control, including scheduling, mapping, and social media. Those links are offered for convenience only. We are not responsible for the content, policies, or practices of any third-party site or service, and a link is not an endorsement. Your use of a third-party service is governed by that provider's own terms and privacy policy.

The Site describes both current products and products still in development. Descriptions of planned features, availability dates, and roadmap items are provided for information only, are subject to change at any time, and are not a commitment, promise, or binding obligation. Please do not rely on them when making a purchasing decision. What a Constructured product actually does is defined by the applicable written agreement and product documentation.

THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CONSTRUCTURED DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site or the servers that make it available are free of harmful components. Nothing on the Site is legal, engineering, safety, regulatory, or other professional advice.

TO THE FULLEST EXTENT PERMITTED BY LAW, CONSTRUCTURED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, ON ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above may not apply to you. In that case our liability is limited to the greatest extent permitted by law.

You agree to indemnify and hold harmless Constructured and its officers, directors, employees, and agents from any claim, demand, loss, liability, or expense, including reasonable attorneys' fees, arising out of your use of the Site, your violation of these Terms, or your violation of any law or of any right of a third party.

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Colorado, and you consent to the personal jurisdiction of those courts.

Our Privacy Policy explains what information we collect through the Site, how we use it, and the choices you have. It forms part of these Terms.

If any provision of these Terms is held to be unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy, are the entire agreement between you and Constructured with respect to the Site. You may not assign these Terms; we may.
